Terms and Conditions

The rules governing use of the GP Fleet platform and the relationship between GP Way, Lda and its clients

1. Identification and Acceptance

These Terms and Conditions (hereinafter “Terms”) govern access to and use of the GP Fleet platform, available at app.gpfleet.pt and its mobile applications, provided by:

By creating an account, activating a free trial period, or subscribing to any paid GP Fleet plan, the user declares that they have read, understood, and fully accepted these Terms, as well as our Privacy Policy. If you do not agree with any provision, you should not use the Service.

GP Fleet is a SaaS (Software as a Service) fleet management platform, intended for users aged 18 or over acting in the exercise of a professional or business activity.


2. Definitions

For the purposes of these Terms:

  • “Service” — the GP Fleet platform in its entirety, including the Partner Portal, Driver Application, mobile applications, integrations, processors, and all associated services
  • “Partner” — the business client or independent professional who contracts and manages the GP Fleet subscription for their fleet
  • “Driver” — the user who accesses the GP Fleet platform to manage their activities within a fleet; the Driver may register independently or upon invitation from a Partner
  • “Account” — the set of access credentials and associated data of a Partner or Driver
  • “Plan” — the subscription plan chosen by the Partner (Starter, Pro, Fleet, or a custom plan), as described on the pricing page
  • “Trial Period” — the 30 consecutive day period of free access to the Service, with no payment method required
  • “Partner Data” — all data entered, imported, or generated by the Partner or their Drivers in the course of using the Service
  • “Business Day” — any day from Monday to Friday, excluding weekends and applicable public holidays

3. The GP Fleet Service

GP Fleet is an integrated fleet management platform offering, amongst other features:

  • Driver, vehicle, trip, and service management
  • Financial automation (revenues, expenses, and driver payouts)
  • Mobile application for drivers (Android and iOS)
  • Automatic service data extraction using artificial intelligence
  • Automatic map and trip route generation
  • Integration with data processors and external platforms
  • Integration with invoicing systems

The features available under each Plan are described on the pricing page. GP Fleet reserves the right to add, modify, or remove features, provided this does not materially impair the contracted Service, with advance notice as set out in Article 17 of these Terms.


4. Registration, Accounts, and Security

4.1 Registration

Registration on the platform requires the creation of an Account with accurate, complete, and up-to-date information. The Partner is responsible for the accuracy of the information provided and undertakes to keep it current.

4.2 Account Types

  • Partner Account: Created by the fleet manager. The Partner manages the subscription, additional users, and Drivers associated with their fleet.
  • Driver Account: The Driver may register independently on the platform or upon invitation from a Partner. The Driver account is independent and persists even if it is no longer associated with a Partner’s fleet.

4.3 Additional Users

The Partner may add users to their account up to the limit of their Plan. The Partner is responsible for all actions taken by additional users under their account.

4.4 Account Security

The user is responsible for maintaining the confidentiality of their access credentials and for all activities carried out from their Account. In the event of suspected unauthorised access, they must immediately notify GP Fleet at info@gpfleet.pt.


5. Free Trial Period

5.1 Duration and Conditions

GP Fleet provides a free trial period of 30 consecutive days from the account creation date, with no payment method required. During this period, the Partner has access to the features of the selected Plan.

5.2 Transition to Paid Subscription

During the registration process, the Partner may optionally add a payment method. At the end of the Trial Period:

  • With a registered payment method: the subscription to the chosen Plan is activated and billed automatically, with no further action required
  • Without a registered payment method: the account enters suspension mode

5.3 Suspension Mode Due to Non-Payment

In suspension mode due to the absence of a payment method:

  • Access to management and data editing features is disabled
  • Data remains stored and accessible in read-only mode
  • The account can be reactivated at any time by adding a valid payment method

6. Plans, Pricing, and Billing

6.1 Available Plans

GP Fleet offers monthly subscription plans (Starter, Pro, and Fleet) and custom plans for fleets with specific requirements. The prices, features, and limits of each plan are described on the pricing page, with amounts presented in euros, excluding VAT at the applicable legal rate.

6.2 Pricing Structure

Plans consist of:

  • A fixed monthly platform fee, per Partner account
  • A monthly per-driver fee, for each active Driver in the fleet

6.3 Billing Cycle

Billing is monthly, beginning on the date the paid subscription is activated. Renewal occurs automatically on the same date each following month. The Partner will receive an invoice issued by GP Fleet for each billed period.

6.4 Payment Methods

Debit and credit cards are accepted through our payment processor (Revolut). Other payment methods (direct debit, bank transfer) may be available upon request from support.

6.5 Payment Failure

In the event of a payment processing failure, GP Fleet will notify the Partner and may suspend access to the Service until the matter is resolved. The Partner remains liable for any outstanding amounts.


7. Cancellation

7.1 Cancellation by the Partner

The Partner may cancel their subscription at any time, without penalty and without needing to provide a reason. Cancellation may be carried out through the account settings or by contacting support.

7.2 Effects of Cancellation

Following cancellation:

  • The Partner retains full access to the Service until the end of the already-paid billing period
  • No refund is issued for the remaining period (see Article 8)
  • After the paid period ends, the account automatically enters read-only mode

7.3 Read-Only Mode After Cancellation

In read-only mode, the Partner may access and view all their data but cannot add, edit, or process new information. Read-only mode is maintained for a minimum of 3 months after the subscription ends.

After 3 months, GP Fleet reserves the right to automatically delete the account and its data, with at least 30 days’ advance notice by email, unless the Partner requests early deletion under the Privacy Policy.


8. Refund Policy

8.1 B2B Scope

GP Fleet is an exclusively B2B platform, intended for businesses and independent professionals. Under Portuguese legislation, independent professionals (sole traders, individual activity holders, single-member limited companies, and similar) are considered business entities and do not benefit from consumer status under Portuguese consumer protection law.

8.2 No Refunds

Paid subscriptions are non-refundable. The 30-day free Trial Period, prior to any charge, gives the Partner sufficient opportunity to evaluate the Service before any financial commitment.

8.3 Plan Changes

The Partner may upgrade or downgrade their Plan at any time. Changes take effect at the beginning of the next billing cycle. No refunds or pro-rata charges are made within the current cycle.


9. Plan Limits and Fair Use

Each Plan includes usage limits (number of users, drivers, monthly AI calls, and active integrations), as specified on the pricing page.

The Partner undertakes to use the Service within the limits of their contracted Plan. GP Fleet may:

  • Notify the Partner when they are approaching the limits of their Plan
  • Temporarily suspend features that exceed the contracted limits
  • Suggest migration to a higher Plan

Use of the platform by unauthorised automated means, scraping, or any method that artificially overloads the infrastructure is prohibited and may result in immediate account suspension.


10. Integrations and Third-Party Services

10.1 Optional Integrations

GP Fleet provides optional integrations with third-party services (invoicing systems, transport platforms, and others) that the Partner may activate. The availability of integrations depends on the contracted Plan.

By activating an integration, the Partner:

  • Authorises GP Fleet to communicate with the third-party service on their behalf
  • Confirms they have the necessary credentials and authorisations to use the integration
  • Accepts the terms and conditions of the third-party service, for which GP Fleet assumes no liability

10.2 GP Fleet Extractor

The “GP Fleet Extractor” browser extension is an optional tool that allows the Partner to import data from external booking platforms that do not offer data export mechanisms. The extension uses the Partner’s session credentials on those platforms and processes data locally in the browser before transferring it to GP Fleet. Use of this extension implies acceptance of the specific terms presented within the extension.

10.3 Liability for Third-Party Services

GP Fleet is not responsible for the availability, content, policies, or practices of third-party services integrated into the platform. Unavailability or changes to third-party services do not constitute a breach by GP Fleet and do not give rise to a right of refund.


11. Data Processing — Data Processing Agreement (DPA)

11.1 Scope and Nature

By accepting these Terms, the Partner (as Data Controller of the personal data of their drivers, employees, and operations) and GP Fleet (as Data Processor) enter into this Data Processing Agreement in accordance with Article 28 of Regulation (EU) 2016/679 (GDPR).

This article satisfies the requirement for a binding contract as required by Article 28(3) of the GDPR for personal data processing carried out by GP Fleet on behalf of the Partner.

11.2 Processing Instructions

GP Fleet processes Partner Data solely for the purposes of providing the contracted Service and in accordance with the Partner’s documented instructions, expressed through the use of platform features and these Terms. Any processing outside the scope of these instructions requires the Partner’s written authorisation.

11.3 GP Fleet’s Obligations as Data Processor

GP Fleet commits to:

  • Confidentiality: Ensuring that personnel authorised to process the data are subject to appropriate confidentiality obligations
  • Security: Implementing appropriate technical and organisational measures in accordance with Article 32 of the GDPR, as described in the Privacy Policy
  • Sub-processors: Not engaging additional sub-processors for processing Partner Data without prior notice; the current list of sub-processors is set out in the Privacy Policy
  • Data subject rights: Supporting the Partner in fulfilling obligations regarding data subject rights (access, rectification, erasure, portability, objection)
  • Breach notification: Notifying the Partner, without undue delay, upon becoming aware of a personal data breach
  • End of processing: Upon termination of the contractual relationship, deleting or returning Partner Data as instructed and within the timeframes set out in Article 7 of these Terms
  • Audit: Making all information necessary to demonstrate compliance with the obligations set out in this article available to the Partner

11.4 Partner’s Obligations as Data Controller

The Partner is responsible for:

  • Ensuring the existence of an adequate legal basis for processing the personal data of their drivers and employees on the GP Fleet platform
  • Informing the individuals whose data is processed about the use of GP Fleet, by making the Privacy Policy available to them
  • Complying with all obligations incumbent on them as Data Controller under the GDPR

11.5 Personal Data Processed

In the course of providing the Service, GP Fleet processes, on behalf of the Partner, personal data of drivers and employees, including: identification data, contact data, professional data, trip data, and financial data required for fleet management operations. The purpose, duration, and data subjects are determined by the Partner.


12. Service Availability and Support

12.1 Availability

GP Fleet makes all reasonable efforts to ensure Service availability close to 99.5%, measured monthly and excluding scheduled maintenance periods. This figure is an internal target and not a contractual service level guarantee. GP Fleet is not liable for unavailability caused by factors outside its reasonable control (third-party infrastructure maintenance, network failures, force majeure events, and so forth).

Scheduled maintenance will be communicated in advance wherever possible, and carried out preferably during periods of lower usage.

Support is not available at weekends or on applicable public holidays. The response times stated are targets and not contractual guarantees.

12.3 Scheduled Maintenance

GP Fleet may carry out scheduled maintenance that involves temporary interruption of the Service. Wherever possible, this will be communicated with at least 24 hours’ notice by email or in-platform notification.


13. Intellectual Property

13.1 GP Fleet’s Property

The GP Fleet platform, its code, design, trademarks, logos, documentation, and all content that is not Partner Data are the exclusive property of GP Way, Lda or its licensors, protected by applicable copyright and intellectual property rights. Acceptance of these Terms does not grant any licence over these elements beyond the right to use the Service as set out herein.

13.2 Ownership of Partner Data

Partner Data is and remains the property of the Partner. GP Fleet claims no ownership rights over the data entered or generated by the Partner on the platform. The Partner grants GP Fleet a non-exclusive and limited licence to process Partner Data solely for the purpose of providing the Service.

13.3 Feedback

Any suggestions, ideas, or feedback provided by the Partner or Driver about the Service may be used by GP Fleet to improve the platform, without any obligation to provide compensation.


14. Acceptable Use

The user undertakes to use the Service only for lawful purposes and in accordance with these Terms. The following are expressly prohibited:

  • Using the Service for illegal purposes or in violation of any applicable law or regulation
  • Accessing or attempting to access data belonging to other users without authorisation
  • Introducing into the platform personal data of third parties without an adequate legal basis for processing
  • Attempting to compromise, overload, or interfere with the integrity or performance of the platform
  • Reverse engineering, decompiling, or attempting to extract the platform’s source code
  • Reselling, sublicensing, or transferring access to the Service to third parties without prior written authorisation from GP Fleet
  • Using the Service in a way that infringes the rights of third parties, including privacy and intellectual property rights

Failure to comply with these obligations may result in immediate account suspension or termination, without prejudice to any other legal remedies available to GP Fleet.


15. Limitation of Liability

15.1 Exclusions

To the maximum extent permitted by applicable Portuguese law, GP Fleet is not liable for:

  • Loss of profit, data, or business opportunities resulting from the use or inability to use the Service
  • Indirect, consequential, or punitive damages of any nature
  • Acts or omissions of third-party services integrated into the platform
  • Service unavailability caused by factors outside GP Fleet’s reasonable control

15.2 Liability Cap

Without prejudice to provisions of mandatory Portuguese law that cannot be excluded by agreement between the parties, GP Fleet’s total liability to the Partner, for any cause, shall not exceed the total amount paid by the Partner in the 3 months preceding the event giving rise to the claim.

15.3 Mandatory Liability

Nothing in these Terms excludes or limits GP Fleet’s liability in cases of fraud, gross negligence, or in any other case where limitation of liability is prohibited by mandatory Portuguese law.


16. Termination by GP Fleet

16.1 Termination for Cause

GP Fleet may suspend or terminate a user’s account with immediate effect, without the need for advance notice, in the following cases:

  • Serious or repeated breach of these Terms
  • Use of the Service for illegal or fraudulent purposes
  • Persistent non-payment following notification
  • Conduct that harms other users or the platform infrastructure

16.2 Termination Without Cause

GP Fleet may terminate the contract without cause upon 30 days’ advance notice, with a proportional refund of amounts paid for the period following termination.

16.3 Effects of Termination

In the event of account termination, the provisions of Article 7.3 apply with respect to data and the read-only access period.


17. Changes to the Service and Pricing

17.1 Price Changes

GP Fleet will notify the Partner of any price changes with a minimum of 30 days’ advance notice by email. If the Partner does not accept the new prices, they may cancel their subscription before the effective date of the changes, without penalty.

17.2 Service Changes

GP Fleet may add, modify, or remove platform features. Where such changes involve a material reduction in the contracted Service, the Partner will be given adequate advance notice and may terminate the contract without penalty.


18. Data Protection and Privacy

The processing of personal data by GP Fleet is governed by our Privacy Policy, which forms an integral part of these Terms. The Data Processing Agreement set out in Article 11 supplements the Privacy Policy with regard to data processed on the Partner’s behalf.


19. Amendments to These Terms

GP Fleet reserves the right to update these Terms periodically. In the event of material changes, the Partner will be notified by email with a minimum of 30 days’ advance notice. Continued use of the Service after the changes come into effect constitutes acceptance of the updated Terms. If the Partner does not agree with the changes, they may cancel their subscription before the effective date.


20. Dispute Resolution

20.1 Complaints

Complaints may be sent to info@gpfleet.pt. GP Fleet undertakes to acknowledge receipt within 5 Business Days and to provide a substantive response within 20 Business Days.

20.2 Online Dispute Resolution

For disputes that cannot be resolved directly, the European Commission provides an online dispute resolution platform available at https://ec.europa.eu/consumers/odr.

20.3 Mediation and Arbitration

The parties may have recourse to out-of-court dispute resolution mechanisms, in particular commercial mediation or arbitration, in accordance with applicable Portuguese legislation.

20.4 Governing Law and Jurisdiction

These Terms are governed by Portuguese law. For any dispute arising from these Terms that is not resolved out of court, the Court of the District of Setúbal shall have jurisdiction.


21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy and any specific conditions agreed in writing, constitute the entire agreement between the parties with respect to the subject matter regulated herein.

21.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21.3 Waiver

Failure by GP Fleet to exercise any right provided for under these Terms shall not constitute a waiver of that right.

21.4 Assignment

The Partner may not assign their rights or obligations under these Terms without the prior written consent of GP Fleet. GP Fleet may assign these Terms in the context of a merger, acquisition, or asset sale, with advance notice to the Partner.

21.5 Force Majeure

GP Fleet is not liable for failure to perform its obligations caused by events outside its reasonable control, including, without limitation: natural disasters, pandemics, governmental actions, widespread internet infrastructure failures, or failures of essential service providers. In such circumstances, GP Fleet’s obligations are suspended for the duration of the event, with a commitment to inform the Partner and resume the Service as soon as possible.
